Bond Ring™ – TERMS OF USE

1. INTRODUCTION

Welcome to Bond Ring™ (collectively referred to as “Bond Ring™,” “we,” “us,” or “our”). These Terms of Use (“Terms” or the “Agreement”) govern your access to and use of:

• Our website (the “Site”)

• Our smart ring and its accessories (the “Products”)

• The associated mobile or desktop applications (the “App”)

• Any related services (collectively, the “Services”)

Please read these Terms carefully. By accessing or using the Services (including creating an account, ordering Products, or installing our App), you confirm that you accept and agree to be bound by these Terms and by our Privacy Policy(incorporated herein by reference). If you do not agree, you may not use our Services.

This Agreement constitutes a legally binding contract between you (“User,” “Customer,” or “you”) and Bond Ring™. By using our Services, you expressly agree to be bound by these Terms and our Privacy Policy. We reserve the right to update or modify these Terms at any time, without prior notice, and it is your responsibility to review them periodically. Your continued use of the Services constitutes acceptance of any changes.

2. ACCEPTANCE OF TERMS

1. Eligibility: You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms.

2. Account Registration: Certain Services may require account registration. You agree to provide accurate, complete, and current information and to keep such information updated.

3. Consent and Privacy: By using the Services, you acknowledge that you have read and understood these Terms and our Privacy Policy.

3. ACCESS TO AND USE OF THE SERVICES

3.1 License Grant

Bond Ring™ grants you a limited, non-exclusive, non-transferable, personal, and non-commercial license to access and use the Site, App, and associated Services. All other rights remain expressly reserved by Bond Ring™.

3.2 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of the Services at any time, with or without notice, including restricting access for maintenance or security reasons. We will not be liable if any part of the Services is unavailable at any time.

3.3 Service Availability

You acknowledge and agree that the Services may occasionally be inaccessible or inoperable for reasons beyond our control (e.g., equipment malfunctions, natural disasters, routine maintenance). We may also suspend access to the Services for security or legal compliance reasons.

3.4 Product Descriptions and Variations

We strive to provide accurate descriptions, images, and colors of our Products. However, due to variations in devices, screens, or minor product changes, complete accuracy cannot be guaranteed. Bond Ring™ assumes no liability for any discrepancies or misunderstandings resulting from such variations.

4. ACCEPTABLE BEHAVIOR

When you use our Services, you agree to:

• Comply with all applicable laws and regulations (local, state, national, and international).

• Provide truthful and accurate information when creating an account or making a purchase.

• Maintain the security of your username, password, and other credentials.

• Use the Services in a respectful, non-harassing manner towards other users and Bond Ring™ personnel.

• Respect intellectual property rights (yours, ours, and third parties).

5. PROHIBITED ACTIVITIES

You explicitly agree NOT to:

1. Violate Laws or Regulations: Engage in any unlawful or unauthorized activity when using the Site or Services.

2. Hacking or Tampering: Attempt to hack, gain unauthorized access, introduce viruses or malicious code, or otherwise interfere with the normal operation of the Services.

3. Spamming or Phishing: Send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes.

4. Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code from our App or Services.

5. Commercial Exploitation: Use Products purchased from us for commercial, business, or resale purposes without explicit authorization.

6. Export Violations: Export, re-export, or transfer Products to countries or entities in violation of applicable export laws and regulations.

7. Unauthorized Use of Content: Modify, copy, sell, lease, or distribute any portion of the Services without our prior explicit written authorization.

8. Automated Data Collection: Conduct web scraping, data mining, bots, or automated data collection without our express written consent.

A breach of any of these prohibitions may result in termination of your access to the Services, legal action, or both, at the sole discretion of Bond Ring™.

6. INTELLECTUAL PROPERTY PROTECTION

6.1 Ownership

All right, title, and interest in the Services, including but not limited to trademarks, service marks, logos, text, graphics, images, software code, and other content (collectively, “Content”), are owned or licensed by Bond Ring™ and are protected by U.S. and international intellectual property laws.

6.2 Copyrighted Works

All Content provided in association with the Services—including the Site, the App, the underlying technology, and the look and feel—is exclusively owned or licensed by Bond Ring™. You agree not to copy, reproduce, modify, create derivative works from, distribute, or publicly display any Content without Bond Ring™’s prior written permission.

6.3 Feedback

If you provide Bond Ring™with suggestions, ideas, or other feedback related to the Services (“Feedback”), Bond Ring™ is free to use such Feedback without any attribution or compensation to you, for any purpose whatsoever, including but not limited to developing new features or functionality.

6.4 Product Safety

Our Product should not be placed in the mouth at any time. The Bond Ring™Product is not a toy and is not intended for use by children. Children must not be left unattended with this Product, as it may pose a choking hazard.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 “As Is” Disclaimer

THE SERVICES ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. BOND RING™ AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, PARTNERS, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY BOND RING™ OR AN AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY.

7.2 Limited Product Warranty

Bond Ring™ warrants to the original end-user purchaser that the Product is free from defects in material and workmanship for one (1) year from the date of purchase. If local law requires a longer warranty period, we extend it accordingly. During the warranty period, we will repair or replace defective components at no charge; you are responsible for transportation costs. Replacement products may be new or refurbished at our discretion.

This limited warranty does not cover normal wear and tear (e.g., scratches, dents), damage from misuse or accidents, unauthorized alterations, or use with non-approved applications or software.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BOND RING™ NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS, OR DATA) ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. WHERE LIABILITY CANNOT BE EXCLUDED, ANY CLAIM SHALL BE LIMITED TO USD $1 OR THE TOTAL AMOUNT YOU PAID BOND RING™ FOR THE APPLICABLE PRODUCT OR SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. TERMINATION

We may suspend or terminate your account or access to the Services at any time, for any reason, including but not limited to violation of these Terms. You may terminate your account at any time by contacting us or following the instructions in your account settings. Upon termination, your license to use the Services ceases immediately. Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive any termination of these Terms.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Bond Ring™, its subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or relating to:

• Your violation of these Terms or any applicable law;

• Your use or misuse of the Services;

• Any breach of a third party’s rights (including intellectual property, privacy, or publicity);

• Anyone else’s use of your account or credentials.

10. DISPUTE RESOLUTION AND CLASS ACTION WAIVER

Any dispute arising under these Terms shall be resolved by final and binding arbitration before a single arbitrator, in accordance with the applicable arbitration rules. You waive any right to participate in a class action or class-wide arbitration. Either party may seek injunctive relief in court for unauthorized use or infringement of intellectual property.

11. VIRTUAL CHATBOT DISCLAIMER

Bond Ring™ may provide an interactive virtual chatbot named Genome AI (“Chatbot”) as part of our Services. You acknowledge and agree that responses provided by the Chatbot are automated, generated by artificial intelligence algorithms, and are not entirely controlled or supervised by Bond Ring™. We expressly disclaim any liability for any inaccuracies, omissions, or unintended interpretations arising from the Chatbot’s responses.

The information provided by the Chatbot is for general informational purposes only and does not constitute professional, medical, legal, or financial advice. Responses from the Chatbot should not be solely relied upon for making decisions, and you should independently verify any information provided through other sources.

You agree that Bond Ring™ shall not be held liable, under any circumstances, for any direct, indirect, incidental, consequential, or special damages resulting from your reliance on or use of the Chatbot’s responses. Additionally, no response provided by the Chatbot may be used against Bond Ring™ in any legal or regulatory proceeding.

Your continued use of the Chatbot constitutes acceptance and understanding of these terms, conditions, and limitations regarding its use and functionality.

12. MISCELLANEOUS

1. Entire Agreement: These Terms, along with our Privacy Policy and any linked policies, constitute the entire agreement between you and Bond Ring™ regarding the Services, superseding all prior agreements.

2. Severability: If any provision is deemed unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions.

3. Waiver: Our failure to exercise or enforce any right or provision does not constitute a waiver of that right or provision.

4. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms.

5. Language: If these Terms are available in multiple languages, the English version governs in the event of a conflict, except where prohibited by local law.

BY USING OUR SITE, APP, OR PRODUCTS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM.
